SMR CREATIVE

1. Price Variation
Estimates are based on smr creative's current costs of production and unless otherwise agreed are subject to amendment on or at any time after acceptance to meet any rise or fall in such costs.

2. Tax
Quotation by the company is exclusive of vat, which shall be payable at the rate prevailing at the date of the invoice.

3. Preliminary Work
All work carried out, whether experimentally or otherwise, at the customer's request shall be charged.

4. Copy
A charge may be made to cover any additional work involved where copy supplied is not clear and legible.

5. Proofs
Proofs of all work submitted for customer's approval - smr creative shall incur no liability for any errors not corrected by the customer in proofs so submitted. Customer's alterations and additional proofs necessitated thereby shall be charged extra. When style, type or layout is left to smr creative's judgement, changes therefrom made by the customer shall be charged extra.

6. Copyright/Patent Act 1988
Unless negotiated and agreed in writing, the copyright of general artwork, commissioned artwork (including logos) and illustrations belongs to smr creative. The customer must take full responsibility with regard to copyright/patent and to reproduce pictures, artwork, photographs etc. The customer will indemnify smr creative and their agents from any claim arising therefrom.

7. Retention of Title
All goods will remain the property of smr creative until paid for in full and the customer will remain bailee only until such full payment is made. In the event that the customer is a limited liability ompany, then both the company and its Directors shall be bailee's jointly and severally.

8. Delivery and Payment
Every effort is made to ensure delivery on the agreed date however, these services rely on the customer not delaying the progression of the order e.g. failing to raise order numbers or not returning proofs on time. In such circumstances, smr creative will not be bound by any guarantee.
a. Acceptance of the work shall be deemed to take place upon delivery but ownership therein shall only pass to the customer when payment has been made in full.
b. Payment terms: Strictly within 30 days from the date of invoice. New customers may be asked for a part payment of 50% of the agreed price upon commencement of work with the balance payable in full on completion. SMR operate a minimum charge fee policy, rates may vary and are available on request.
c. Unless otherwise specified the price quoted is for delivery of the work to customer's address as set out in the quote. A charge may be made to cover any extra costs involved for delivery to a different address.
d. Should work be suspended at the request of or delayed through any default of the customer for a period of 28 days smr creative shall then be entitled to payment for work already carried out, materials specifically ordered and any other additional costs.

9. Claims
Claims in respect of any visible damage to goods must be made in writing to smr creative within 3 days of delivery, and relative work must be returned. Any queries relating to an invoice must be raised in writing within 7 days of the date of the invoice and no adjustment is possible after that time.

10. Liability
Work sent to smr creative is always handled with extreme care, however the company cannot be held responsible for any loss or damage when valuable articles are entrusted to us. If any article of value is received by us, it is the responsibility of the customer to make sure that special insurance arrangements have been made.

11. Variations in Quantity
Every endeavour will be made to deliver the correct quantity ordered, but estimates are conditional upon margins of 8%.

12. Force Majeure
smr creative shall not be liable to the customer or be deemed to be in breach of any contract by reason of any delay in performing or failure to perform, any of the customers obligations in relation to the goods, if the delay or any failure was due to and Act of God, war, strikes, lock-outs, fire or any other cause beyond our control which includes any difficulty arising from procurement of materials. In these circumstances, the customer will accept any appropriate increased costs, which will be notified to the customer at the earliest date.
